Intern Confidentiality, Intellectual Property, and Non-Disclosure Agreement (NDA)

Effective Upon Submission of Internship Application

​

This Confidentiality, Intellectual Property, and Non-Disclosure Agreement (“Agreement”) is entered into by and between Biomedical Healing for Kids, operating under Greer McGuinness, located in the State of New York (hereinafter the “Company”), and any individual (“Intern”) participating in or applying for the Biomedical Healing for Kids Internship Program.

By applying for, being accepted into, or participating in the internship program, the Intern acknowledges that they have read, understood, and agree to be legally bound by the terms of this Agreement.

1. Purpose

Biomedical Healing for Kids (the “Company”) operates in the field of biomedical health, research, and education for children. During the internship, the intern may be exposed to or participate in activities involving sensitive research data, creative content, business operations, and patient-related information.

​

The purpose of this Agreement is to ensure that all such information and all work created during the internship remains confidential and the exclusive property of the Company.

​

2. Definition of Confidential Information

“Confidential Information” means any and all non-public information belonging to or relating to the Company, its clients, partners, patients, or affiliates. This includes, but is not limited to:

​

  • Biomedical research data: experiments, hypotheses, findings, test results, unpublished papers, or methodologies.
     

  • Patient or participant information, including any Personal Health Information (PHI) or Personally Identifiable Information (PII) protected under HIPAA or other privacy laws.
     

  • Creative, marketing, and communications materials, including social media content, website copy, branding, educational materials, blogs, video scripts, or any other written, visual, or digital work.
     

  • Business operations and financial information, including internal plans, marketing strategies, partnerships, donor data, or internal discussions.
     

  • Software, platforms, and systems, including login credentials, databases, or proprietary applications.
     

  • Training materials, notes, discussions, presentations, meeting contents, or correspondence of any kind.
     

  • Any other information, whether tangible or intangible, written or oral, disclosed intentionally or incidentally during the course of the internship.
     

Confidential Information remains protected whether or not it is marked “confidential.”

3. Intern’s Obligations

The Intern agrees to the following:

​

  1. Strict Confidentiality: The Intern shall hold all Confidential Information in strict confidence and shall not disclose, share, reproduce, publish, or use such information for any purpose other than assigned internship duties.
     

  2. No External Discussion: Confidential Information shall not be discussed with or disclosed to any person outside the Company, including family members, friends, classmates, or other interns, without written authorization.
     

  3. Data Protection: The Intern must take all reasonable precautions to prevent unauthorized access, including securing devices, passwords, and digital files.
     

  4. HIPAA & Privacy Compliance: The Intern agrees to comply with all federal and state privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA), and understands that violations of patient confidentiality may result in legal consequences.
     

  5. Notification of Breach: The Intern must immediately notify the Company if they suspect or become aware of any unauthorized disclosure or breach of Confidential Information.
     

  6. Continuing Duty: These obligations survive indefinitely — even after the internship has ended.
     

4. Ownership of Work and Intellectual Property (NO EXCEPTIONS)

All work, creations, discoveries, ideas, inventions, research, designs, writings, communications, photographs, audio or video recordings, social media content, data compilations, analyses, software, code, documentation, or any other material — tangible or intangible — produced, developed, conceived, or contributed to by the Intern during the internship (whether completed, partial, preliminary, or conceptual) shall be considered the sole and exclusive property of Biomedical Healing for Kids (Greer McGuinness).

This includes, but is not limited to:

​

  • Articles, blogs, graphics, and creative assets.
     

  • Research studies, findings, methodologies, or drafts.
     

  • Presentations, slides, or educational materials.
     

  • Marketing, branding, or social media content.
     

  • Any ideas, concepts, or strategies proposed verbally or in writing.
     

The Intern acknowledges that:

​

  • They shall not retain, reproduce, or reuse any such work for personal, academic, or professional purposes without explicit written authorization from the Company.
     

  • The Company shall have unlimited and unrestricted rights to use, modify, adapt, publish, distribute, display, or license such works in any form, for any purpose, and at any time, with no compensation or credit required to the Intern.
     

  • These rights apply without exception, and no claim of authorship, ownership, or compensation shall be made by the Intern now or in the future.
     

5. Return or Deletion of Materials

Upon completion or termination of the internship, the Intern must promptly:

​

  • Return all physical materials belonging to the Company.
     

  • Delete all electronic files, communications, or data containing confidential information from personal devices or accounts.
     

  • Confirm in writing that no Company materials remain in their possession.
     

6. No License or Rights Granted

Nothing in this Agreement shall be construed as granting the Intern any license, ownership, or right in or to any Confidential Information, intellectual property, or materials belonging to Biomedical Healing for Kids.

7. Duration and Enforcement

This Agreement is effective immediately upon the Intern’s application submission and remains binding indefinitely.

Any breach of this Agreement may result in immediate termination of the internship and may expose the Intern to civil and/or criminal liability, as well as legal action for damages and injunctive relief.

​

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in the State of New York.

​

9. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

​

10. Entire Agreement

This Agreement constitutes the entire understanding between the Intern and Biomedical Healing for Kids regarding confidentiality, intellectual property, and disclosure obligations, and supersedes all prior discussions or representations, whether oral or written.

​

11. Acknowledgment and Acceptance

By submitting an application or participating in the Biomedical Healing for Kids Internship Program, the Intern acknowledges that they have read, understood, and voluntarily agreed to be bound by all the terms of this Agreement, without limitation or exception.
